Web Design and Development Terms
Last updated July 13, 2026. These general terms apply when incorporated into a proposal, statement of work, order, or other agreement for website design or development services. The signed project documents control if they conflict with this page.
Client responsibilities
The client will provide timely access, content, approvals, brand materials, legal notices, product information, and a decision-maker authorized to approve work. Delays in those items may change the schedule and cost.
Content and permissions
The client represents that it owns or has permission to use the text, media, trademarks, data, software, and other materials it supplies. The client is responsible for the accuracy, legality, accessibility requirements, and regulatory review of its business content unless the scope states otherwise.
Access and third-party services
The client authorizes the access reasonably needed to perform the work. Hosting, domains, plugins, fonts, stock media, payment services, APIs, and other third-party products remain subject to their own terms, availability, pricing, and policies.
Reviews and approvals
The client will review deliverables within the period stated in the project documents and provide consolidated feedback. Approval confirms that the reviewed stage may proceed. Later changes may affect cost and timing.
Fees and payment
Deposits, milestones, recurring fees, reimbursable expenses, taxes, late charges, and payment timing are defined in the project documents. Greenhouse Design Group may pause work or withhold transfer or launch when an undisputed payment is overdue.
Changes and delays
Changes to requirements, content volume, integrations, technical constraints, or approved work may require a revised estimate. Either party should document material changes in writing before the affected work proceeds.
Testing and acceptance
Greenhouse Design Group will test the agreed scope in the supported environments. The client is responsible for final review of business rules, content, pricing, legal statements, accessibility obligations, and production data before approval to launch.
Launch and maintenance
Launch depends on required access, approvals, payments, third-party readiness, backups, and migration details. Ongoing hosting, monitoring, updates, security response, content changes, and support are included only when stated in an active agreement.
Intellectual property
Ownership and license terms are defined in the project documents. Unless stated otherwise, the client retains its pre-existing materials and Greenhouse Design Group retains pre-existing tools, methods, reusable components, and know-how. Final transfer may depend on full payment.
Portfolio use and confidentiality
Confidentiality and publicity requirements should be identified in writing. Unless restricted by agreement, Greenhouse Design Group may identify completed public work in its portfolio after launch without disclosing confidential information.
No performance guarantee
Design and development can improve clarity, usability, accessibility, performance, and conversion opportunity, but no specific ranking, traffic, sales, revenue, uptime, security, or business result is guaranteed unless expressly stated in a signed agreement.
Suspension and termination
Termination rights, notice, final invoices, handoff, licenses, and treatment of work in progress are governed by the project documents. Amounts earned for completed work and committed third-party costs remain due.
Warranty and liability
Any correction period, warranty, indemnity, limitation of liability, dispute process, or governing law is defined in the signed agreement. Nothing on this page creates a warranty beyond that agreement or limits rights that cannot legally be limited.
